Terms and conditions

Effective date: 11 September 2026

These Terms and Conditions ("Terms") govern the sale of goods by Kyiv Stend (FOP Bulak Serhii Serhiiovych, individual entrepreneur registered in Ukraine, hereinafter "Seller", "we", "our") to customers located in the European Economic Area other than the Kingdom of Spain, via the website kyivstend.com.ua/en/. By placing an order you confirm that you have read, understood and accepted these Terms.

These Terms are drafted with reference to Directive 2011/83/EU (Consumer Rights Directive), Directive 1999/44/EC (Sale of Consumer Goods), Directive 2019/770 (Digital Content), Directive 2019/771 (Sale of Goods), and the Civil Code of Ukraine.

1. Parties and definitions

Seller - Kyiv Stend (FOP Bulak Serhii Serhiiovych), Kyiv, Ukraine. Email sales@kyivstend.com.ua, phone +38 050 542 80 38.

Customer - natural person acting for purposes outside their trade, business, craft or profession (Consumer, B2C) or legal entity / natural person acting in their commercial capacity (Business Customer, B2B).

Goods - custom-made and standard signs, nameplates and information corners we manufacture on your request.

Custom-Made Goods - Goods manufactured to Customer specifications (dimensions, text, artwork, colours, materials) that are not offered as standard catalogue items.

2. Contract formation

The website is a display of goods, not a binding offer. A contract is formed only when we send you a written order confirmation by email specifying the final scope, price, delivery term and payment instructions. For Custom-Made Goods, we may request a signed technical specification (drawing approval) before confirmation.

3. Prices and payment

All prices on the website are in Euro (EUR) and are indicative only. Final price is confirmed in the written order confirmation and depends on specification, quantity and delivery country. Prices do not include Value Added Tax (VAT) - see Section 4.

Payment terms: 100 % advance payment by SEPA / SWIFT bank transfer to the Seller's bank account, in EUR. For repeat Business Customers we may agree on 50 % advance and 50 % before dispatch. Invoice reference: KS-EN-YYYYMMDD-N. Production starts after funds are credited to our account.

4. Value added tax

The Seller is not registered as a VAT payer in Ukraine (individual entrepreneur under the simplified tax system) and is not registered for VAT in any EU Member State.

  • B2B Business Customers with a valid EU VAT ID: the transaction is an import of goods from a third country into the EU. Import VAT and any customs duties are payable by you as importer in your Member State. The Seller's invoice does not include VAT and mentions "VAT to be accounted by the recipient under the reverse charge / import mechanism".
  • B2C Consumers: the goods are imported from Ukraine. Import VAT is normally collected by the carrier upon delivery. Consumer is the importer of record. Kyiv Stend does not use the Import One Stop Shop (IOSS) scheme.

5. Delivery

See Delivery Information for full details. In summary: shipping through Nova Poshta International, DHL, GLS or DPD; lead time 5 to 15 working days depending on destination and product complexity; risk of loss passes to Consumer on delivery of the goods to Consumer (Art. 20 Directive 2011/83/EU) and to Business Customer on handover to the carrier.

We do not deliver to Spain, the Russian Federation, Belarus or any country under EU sanctions.

6. Right of withdrawal (consumers only)

Under Art. 9 of Directive 2011/83/EU, a Consumer has 14 calendar days from the day of delivery to withdraw from a distance contract without giving reason and without penalty. Withdrawal notice must be sent to sales@kyivstend.com.ua. A model withdrawal form is available on request.

Exceptions (Art. 16 Directive 2011/83/EU) - withdrawal right does NOT apply to:

  • Goods manufactured to Consumer specifications or clearly personalised (Art. 16(c)) - this applies to almost all our production because every sign includes custom text, dimensions or artwork;
  • Goods that are, according to their nature, inseparably mixed with other items after delivery (Art. 16(f));
  • Sealed goods unsuitable for return for health protection or hygiene reasons if unsealed after delivery.

Business Customers (B2B) have no statutory right of withdrawal.

7. Warranty (consumers)

For Consumers, the Seller is liable for any lack of conformity that becomes apparent within 2 years from delivery, in accordance with Art. 10 of Directive 2019/771. Remedies: repair, replacement, price reduction or termination, in the order and under the conditions of the Directive.

Warranty claims must be sent to sales@kyivstend.com.ua with a photo of the defect and the invoice number. We reply within 14 calendar days and, if the claim is accepted, arrange repair, replacement or refund at our cost within 30 calendar days.

8. Warranty (business customers)

For Business Customers, warranty is limited to 12 months from delivery. Liability is limited to the value of the goods concerned. We are not liable for indirect or consequential loss (loss of profit, loss of contracts, downtime).

9. Intellectual property

All drawings, photos, texts and layouts on the website are the property of Kyiv Stend or used with permission. You may not reproduce them commercially without written permission.

When you send us your artwork, logo or text for production, you warrant that you own the rights or have permission to use them and you grant us a licence limited to producing your order. You indemnify us against any third-party IP claim arising from the artwork you provide.

10. Data protection

We process personal data in accordance with our Privacy Policy and applicable law (GDPR, Ukrainian Law No. 2297-VI).

11. Force majeure

Neither party is liable for failure to perform caused by events beyond reasonable control (war, martial law in Ukraine, natural disaster, general strike, government sanctions, prolonged power outage, disruption of postal service). The affected party notifies the other within 5 working days and the affected obligations are suspended for the duration of the event.

12. Complaints and dispute resolution

Complaints should first be sent to sales@kyivstend.com.ua. We reply within 14 calendar days.

Consumers residing in the EU may also use the European Commission Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. We do not commit to arbitration through a specific ADR body.

13. Governing law and jurisdiction

These Terms are governed by the law of Ukraine, without prejudice to mandatory consumer protection rules of the Consumer's country of habitual residence in the EU (Art. 6 Rome I Regulation).

For Business Customers, the courts of Kyiv, Ukraine have exclusive jurisdiction. For Consumers, jurisdiction rules of Regulation (EU) No 1215/2012 (Brussels I recast) apply and Consumer may sue in the courts of their country of domicile.

14. Changes to these terms

We may update these Terms. Orders placed before the change are governed by the Terms in force at the time of the order confirmation. Effective date at the top reflects the latest revision.
